THIS SUBSCRIPTION AGREEMENT (this “Agreement”) is made and entered into as of December 20, 2005 by and among China 3C Group, a Nevada corporation (the “Company”), and the investors named on Schedule 1 attached hereto (each such investor is referred to herein as an “Investor” and collectively as the “Investors”). Certain terms used and not otherwise defined in the text of this Agreement are defined in Article 7 of this Agreement.
