This Agreement, dated as of November 18, 2005, is among Cardinal Health, Inc. (the “Company”), certain Subsidiaries of the Company (the “Subsidiary Borrowers”, and together with the Company, the “Borrowers”), the lenders party hereto from time to time (the “Lenders”), and Wachovia Bank, National Association, a national banking association having its principal office in Charlotte, North Carolina, as administrative agent (the “Administrative Agent”) and as LC Issuer.
