the Registered Holder hereof or assigns (the "Holder"), is entitled to purchase from SC&T INTERNATIONAL, INC., an Arizona corporation (the "Company"), at any time after 9:00 a.m. New York Time on December 14, 1995 and before 5:00 p.m., New York Time, on December 13, 1998 at the purchase price per Share of $7.00 (the "Warrant Price"), one-half (1/2) of one (1) share of common Stock of the Company for each Warrant represented by this certificate (the "Shares").
