VOTING AGREEMENT, dated as of April 2, 2008 (this “Agreement") among Claxson Interactive Group Inc., a British Virgin Islands business company (the “Company"), Remainco Inc., a British Virgin Islands business company (“Newco”) and the members of the Company whose names appear on the signature pages of this Agreement (each a “Member” and collectively the “Members”).
