This Stock Purchase Agreement (this “Agreement”) is made and entered into this 26th day of September, 2007 by and among Roy Israel, Carla Israel, Pat Giuliani-Rheaume, Willem Specht and ISO Investment Holdings, Inc., a Delaware corporation, (collectively, the “Sellers”) and Glenn L. Halpryn, individually and as agent for certain investors (the “Purchaser”).
