This AGREEMENT AND PLAN OF MERGER (this “Agreement”), dated as of December 10, 2007, is entered into by and among Reckitt Benckiser Group plc, a United Kingdom corporation (“Parent”), Twickenham Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), and Adams Respiratory Therapeutics, Inc., a Delaware corporation (the “Company”).
