THIS LENDER ADDENDUM, dated as of August 14, 2007 (this “Agreement”), by and among BANK OF AMERICA, N.A. (the “Lender”), WASTE SERVICES (CA) INC., an Ontario corporation (“WSCA”), WASTE SERVICES, INC., a Delaware corporation (the “Borrower”), LEHMAN COMMERCIAL PAPER INC., as administrative agent (in such capacity, the “Administrative Agent”), and Canadian Imperial Bank of Commerce, as Canadian agent (in such capacity, the “Canadian Agent”).

SUPPLEMENTAL INDENTURE (this “Supplemental Indenture”), dated as of June 29, 2007, among Southwest Dumpster Inc. a Florida corporation (a “Guaranteeing Subsidiary”), a subsidiary of Waste Services, Inc. (or its permitted successor), a Delaware corporation (the “Company”), the Company, the other Guarantors (as defined in the Indenture referred to herein) party to the Indenture on the date hereof and Wells Fargo Bank, National Association, as trustee under the Indenture referred to below (the “Trustee”).
