THIS STOCK PURCHASE AGREEMENT (the “Agreement”), dated as of August 9, 2007 (the “Signing Date”), is by and among Leon Medical Centers Health Plans, Inc., a Florida corporation (the “Company”), the stockholders of the Company listed on the signature pages to this Agreement (collectively the “Sellers” and each individually a “Seller”), HealthSpring, Inc., a Delaware corporation (“HealthSpring”), and NewQuest, LLC, a Texas limited liability company and wholly-owned subsidiary of HealthSpring (“Buyer”). For purposes of this Agreement, the “Parties” shall mean the Sellers and the Company, on the one hand, and HealthSpring and Buyer, on the other hand (each individually a “Party”).
