not be affected thereby, but if the Collateral Agent or the noteholders were not qualified, the Collateral Agent, or the noteholders in the event they institute remedies without the Collateral Agent, as the case may be, would be precluded from enforcing their respective rights in the courts of the State of North Carolina until such time as they are qualified to transact business in the State of North Carolina. However, the lack of qualification would not result in any waiver of rights or remedies pending such qualification.
