The undersigned (hereinafter called the “Debtor”) and INGRAM MICRO INC. (hereinafter called the “Secured Party”), for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, hereby agree as follows: 1. SECURITY INTEREST. This Intercreditor and Subordination Agreement (“Agreement”) is made as of this 16th day of May, 2005, by and between Wells Fargo Business Credit, Inc., a Minnesota corporation (“Wells Fargo”), and Ingram Micro Inc., a Delaware corporation (“Ingram”).
