This AMENDMENT NO. 3 TO AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”), dated as of December 27, 2007, is made between HERITAGE-CRYSTAL CLEAN, LLC, an Indiana limited liability company (the “Borrower”) and BANK OF AMERICA, N.A. (the “Lender”). Undefined capitalized terms used herein shall have the meanings ascribed to such terms in the Credit Agreement referenced below.

This Amendment No. 6 to the Restated Operating Agreement dated October 26, 2004, as amended October 26, 2004, December 10, 2004, February 16, 2006, February 28, 2006 and February 14, 2007 (collectively, “Operating Agreement”), of Heritage-Crystal Clean, LLC, a limited liability company organized pursuant to the Indiana Business Flexibility Act, I.C. §23-18-1, et seq. (“Company”) is effective as of the 28th day of December, 2007 (“Amendment No. 6 Effective Date”) for the purpose of amending the principal office of the Company and reflecting the purchase by The Heritage Group, an Indiana partnership (“THG”), of certain Common Units owned by John Lucks (“Lucks”).
