THIS AGREEMENT is entered into on October 20, 2006 by and between Thomas Kram, an individual residing in the State of Illinois (“Participant”) and Sun-Times Media Group, Inc., a corporation incorporated under the laws of the State of Delaware (“STMG”).

THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made and entered into as of the 14th day of December, 2006, to be effective as of December 29, 2006 (the “Effective Date”), by and between Sun-Times Media Group, Inc., a Delaware corporation (the “Employer”), and James D. McDonough (the “Executive”).
