This First Amendment to Credit Agreement (the “Amendment”) is made as of January ___, 2007, by and between TORTOISE CAPITAL RESOURCES CORPORATION, a Maryland corporation (the “Borrower”), with its chief executive office located at 10801 Mastin, Suite 222, Overland Park, Kansas 66210, and U.S. BANK N.A., a national banking association (the “Bank”), with an office located at 9900 West 87th Street, Overland Park, Kansas 66212. Capitalized terms used and not defined in this Amendment have the meanings given to them in the Credit Agreement referred to below.
