FIRST AMENDMENT TO AMENDED AND RESTATED CREDIT AGREEMENT, dated as of March 31, 2006 (this “Amendment”), among TRIZEC HOLDINGS OPERATING LLC, a Delaware limited liability company (“Borrower”), TRIZEC PROPERTIES, INC., a Delaware corporation (“Trizec”), the SUBSIDIARY GUARANTORS party hereto, the LENDERS party hereto, and DEUTSCHE BANK TRUST COMPANY AMERICAS, in its capacity as Administrative Agent (in such capacity, the “Administrative Agent”) under the Credit Agreement referred to below.
