This TRANSITION SERVICES AGREEMENT (this “Agreement”) is made as of the 14th day of April, 2009, by and among Clinical Data, Inc., a Delaware corporation (“Parent”), Cogenics, Inc., a Delaware corporation (“Cogenics”), Epidauros Biotechnologie, Aktiengesellschaft, a company organized under the laws of the Republic of Germany (“Epidauros”) and Cogenics Genome Express, S.A., a French société anonyme (“CGE” and together with Cogenics and Epidauros, the “Recipients”). Parent and the Recipients are sometimes referred to herein collectively, as the “Parties” and individually, each a “Party”.

This Patent License Agreement (this “Agreement”) is entered into as of April 14, 2009 (the “Effective Date”) by and between PGxHealth, LLC, a Delaware limited liability company (the “Licensor”) and Beckman Coulter, Inc., a Delaware corporation (“Beckman Coulter”).
