THIS TERMINATION AGREEMENT, dated July 3, 2006 (this “Agreement”), is made by and between Merck & Co., Inc., a corporation organized and existing under the laws of New Jersey (“Merck”) and Alnylam Pharmaceuticals, Inc., a corporation organized and existing under the laws of Delaware (“Alnylam”; Merck and Alnylam together are referred to herein as the “Parties”).
