This CREDIT AGREEMENT is entered into as of December 22, 2008 among McAfee, Inc., a Delaware corporation (“McAfee”), McAfee Ireland Holdings Limited, a limited liability company incorporated under the laws of Ireland (the “Irish Borrower” and together with McAfee, each a “Borrower” and together the “Borrowers”), the Guarantors (defined herein), each lender from time to time party hereto (each a “Lender” and collectively, the “Lenders”) and BANK OF AMERICA, N.A., as Administrative Agent and L/C Issuer.
