This Change of Control Severance Agreement (the “Agreement”) is made and entered into by and between Robin Dickson, (the “Employee”) and Harmonic Inc. (the “Company”), effective as of the latest date set forth by the signatures of the parties hereto below, amending and restating, and superseding in its entirety, the Change of Control Agreement previously entered into by and between the Company and Employee (the “Prior Agreement”).
