PURCHASE AGREEMENT, dated as of July ___, 2007 (this “Agreement”), by and among ASC UTAH d/b/a ASC UTAH, INC., a Maine corporation (the “Company”), AMERICAN SKIING COMPANY, a Delaware corporation (“ASC”, and together with Company, the “Sellers”), TALISKER CANYONS FINANCE CO. LLC, a Delaware limited liability company (“Buyer”), and TALISKER CORP., a Delaware corporation (the “Parent” and together with the Buyer, the “Purchasers”), for the sale and purchase of all of the outstanding capital stock in the Company (the “Stock”) and all of the outstanding capital stock of ASCRP (the “ASCRP Stock”).
