This PRODUCT ACQUISITION AGREEMENT (as amended from time to time, the “Agreement”), dated November 28, 2005 (the “Execution Date”), is made and entered into by and between VALEANT PHARMACEUTICALS NORTH AMERICA, a Delaware corporation (the “Buyer”), and INTERMUNE, INC., a Delaware corporation (the “Seller”). Buyer and Seller are sometimes collectively referred to herein as the “Parties” and separately as a “Party.”
