THIS ASSET PURCHASE AGREEMENT (“Agreement”) is entered into as of September 30, 2005, by and among Mitem Corporation, a California corporation (“Buyer”), on the one hand, and Zix Corporation, a Texas corporation (“Parent”) and MyDocOnline, Inc. (“Seller”), a Delaware corporation and wholly-owned subsidiary of Parent, on the other hand.
