This CREDIT AGREEMENT is dated as of August 12, 2005, and entered into among FLOWSERVE CORPORATION, a New York corporation (the “Company”), the financial institutions from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and BANK OF AMERICA, N.A., a national banking association (“BofA”), as Swingline Lender, as Administrative Agent and as Collateral Agent for the Lenders.
