This TRANSFER AGREEMENT (this “Agreement”), dated as of July 1, 2005, is between Silverleaf Resorts, Inc., a Texas corporation (“Originator”) and Silverleaf Finance III, LLC, a Delaware limited liability company (the “Issuer”), and their respective permitted successors and assigns.

This INDENTURE, dated as of July 1, 2005 (the “Indenture”), is among SILVERLEAF FINANCE III, LLC, a limited liability company formed under the laws of the State of Delaware, as issuer (the “Issuer”), SILVERLEAF RESORTS, INC. (“Silverleaf”), a Texas corporation, in its capacity as servicer (the “Servicer”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association, as indenture trustee (the “Indenture Trustee”), paying agent (the “Paying Agent”), as custodian (the “Custodian”), as backup servicer (the “Backup Servicer”) and as a securities intermediary with respect to the Trust Accounts (in such capacity, the “Account Intermediary”).
