This Settlement Agreement and Full Policy Release (hereinafter referred to as “the Agreement”) is entered into between ** Insurance Company, as successor-in-interest to ** Insurance Company, formerly ** Insurance Company (“**”), and Metalclad Insulation Corporation (“Metalclad”), a wholly owned subsidiary of Entrx Corporation, and Entrx Corporation, formerly known as Metalclad Corporation (“Entrx”), as of the date of execution of this Agreement by all signatories hereto, and in accordance with the terms and conditions set forth below.
