THIS FIRST AMENDMENT TO CREDIT AGREEMENT (the “Amendment”) is entered into as of November 4, 2005, by and among ALLIED CAPITAL CORPORATION, a corporation organized under the laws of the State of Maryland (“Borrower”), SUNTRUST BANK (“SunTrust”), and BANK OF AMERICA, N.A., as Administrative Agent (in such capacity, the “Administrative Agent”) for the Lenders under the Credit Agreement (hereinafter defined).
