This Manufacturing and Supply Agreement (the “Agreement”), is effective as of July 1, 2004 (the “Effective Date”), between Baxter Healthcare Corporation, a Delaware corporation, having its principal office at One Baxter Parkway, Deerfield, Illinois 60015 U.S.A. (“Baxter”) and Guilford Pharmaceuticals Inc., a Delaware corporation, having its principal office at 6611 Tributary Street, Baltimore, Maryland 21224 U.S.A. (“Guilford”).
