Seventh Supplemental Indenture dated as of December [ ], 1996 between New Tenneco Inc., a corporation duly organized and existing under the laws of the State of Delaware (hereinafter called the "Company"), and The Chase Manhattan Bank, a New York banking corporation, as trustee (hereinafter called the "Trustee").
