to the Frame Work Contract for the Supply and procurement of Mobile Telephone Equipment, Services and Complementary Equipment (“Contract”), entered into by EuroTel Bratislava (“Purchaser”) and Ericsson Radio Systems AB (“Supplier”), signed on the December 20, 1996. In accordance with Contract this Amendment constitutes an integral part of the Contact. This Amendment does not affect provisions of the Contract except as described below.

Amendment No. 9 to the Interconnection Agreement was entered into December 20, 2002 and takes effect as of January 1, 2003. It extends the term of the Interconnection Agreement through December 31, 2003 and sets the prices the parties will pay each other under the Interconnection Agreement for the interconnection to their respective networks in 2003.

Amendment No. 13 to the Interconnection Agreement was entered into on December 20, 2002 and takes effect as of January 1, 2003. Amendment No. 13 extends the term of the Interconnection Agreement through December 31, 2003 and modifies the provisions of the Interconnection Agreement with respect to the routing of both national and international calls between the networks of EuroTel and Slovak Telecom.

This Agreement, which took effect as of September 1, 2002, provides for the terms and conditions under which we lease digital telecommunications circuits from Slovak Telecom. The circuits we lease based on this Agreement are distinct from those included in the private data network implemented for us by Slovak Telecom and those related to our mutual interconnection with Slovak Telecom. In addition, this Agreement does not cover the international leased circuits and radio-communication circuits.
