THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT dated as of January 1, 2009 (this “Agreement”), by and between Chad C. Deaton (the “Executive”) and Baker Hughes Incorporated, a Delaware corporation (the “Company”).
