This Stock Purchase Agreement (“Agreement”) is made as of December 20, 2005, by and between Allis-Chalmers Energy Inc., a Delaware corporation (“Buyer”) and Joe Van Matre, an individual resident in Lafayette, Louisiana (“Seller”).
