securities, in cash or otherwise, in each case for a period of 60 days from the date of the Prospectus1; provided, however, that with respect to the undersigned, the foregoing restrictions do not apply to sales pursuant to “cashless-broker” exercises of options for Common Units in accordance with the Partnership’s benefit plans as consideration for the exercise price and withholding taxes applicable to such exercises.
