This Memorandum of Agreement is entered into as of this 11th day of June, 2003, between AIM Tax-Exempt Funds (the "Trust"), on behalf of AIM Tax-Exempt Cash Fund (the "Fund"), and A I M Advisors, Inc. ("AIM"), and shall be effective as of the date that the Transaction (as defined below) is consummated.
