This SEVEN YEAR LETTER OF CREDIT AND TERM LOAN AGREEMENT (“Agreement”) is entered into as of June 30, 2003, among WASTE MANAGEMENT, INC., a Delaware corporation (the “Company”), WASTE MANAGEMENT HOLDINGS, INC., a Delaware corporation and wholly-owned Subsidiary of the Company (“Holdings”) (executing this Agreement for the limited purposes set forth in Article XI hereof), BANK OF AMERICA, N.A., as issuer of letters of credit (the “Issuer”), the financial institutions having a Credit-Linked Deposit set forth opposite their names on Schedule 2.01 hereto under the heading “Credit-Linked Deposit” (collectively, the “Lenders” and individually, a “Lender”), and BANK OF AMERICA, N.A., as Administrative Agent.

This EMPLOYMENT AGREEMENT (the “Agreement”) is made and entered into on this 30th day of March, 2003 by and between Recycle America Alliance, L.L.C. and Steve Ragiel (the “Executive”). Recycle America Alliance, L.L.C. is an indirect subsidiary of Waste Management, Inc. (“WMI”). Recycle America Alliance, L.L.C. and all of its affiliates shall be referred to herein as “the Company.”
