(as successor-in-interest to Van Kampen Funds, Inc.) (“MSDI”), THE UNIVERSAL INSTITUTIONAL FUNDS, INC. (the “Fund”) and MORGAN STANLEY INVESTMENT MANAGEMENT INC.
