AGREEMENT effective as of the 1st day of January, 2013 by and between THE DREYFUS CORPORATION (“Dreyfus”), a New York corporation, PACIFIC LIFE INSURANCE COMPANY, a life insurance company organized under the laws of the State of California and PACIFIC LIFE & ANNUITY COMPANY, a life insurance company organized under the laws of the State of Arizona (collectively “Insurance Company”).

This Agreement is entered into as of the 1st day of January, 2013, between PACIFIC LIFE INSURANCE COMPANY, a life insurance company organized under the laws of the State of California, on behalf of itself and on behalf of the separate accounts set forth on Exhibit A,PACIFIC LIFE & ANNUITY COMPANY, a life insurance company organized under the laws of the State of Arizona (collectively “Insurance Company”), on behalf of itself and on behalf of the separate accounts set forth on Exhibit A, and each Participating Fund (as defined below).

This is a Distribution and Administrative Services Agreement between Neuberger Berman Management LLC (“NBM”) Pacific Life Insurance Company and Pacific Life & Annuity Company (collectively the “Company”), effective as of May 1, 2013 (the “Services Agreement”). The Company is a life insurance company (the “Insurer”) or is a broker-dealer (“Underwriter”) that is affiliated with Insurer and that serves as the principal underwriter for variable annuity and/or variable life insurance contracts issued by Insurer.
