AGREEMENT made this 28th day of June, 2012, between John Hancock Investment Management Services, LLC, a Delaware limited liability company (the “Adviser”), and Baillie Gifford Overseas Ltd, a limited liability company incorporated in Scotland (the “Subadviser”). In consideration of the mutual covenants contained herein, the parties agree as follows:
