THIS LEASE AND ACCESS AGREEMENT (EL DORADO) (this “Lease”) is made and entered into as of November 9, 2011 to be effective as of 12:01 a.m. Dallas, Texas time on November 1, 2011, between FRONTIER EL DORADO REFINING LLC, a limited liability company organized and existing under the laws of Delaware (herein called “Lessor”), and EL DORADO LOGISTICS LLC, a limited liability company organized and existing under the laws of Delaware (“Lessee”). Lessor and Lessee are each referred to individually as a “Party” and collectively as the “Parties.”

THIS LLC INTEREST PURCHASE AGREEMENT (this “Agreement”) dated as of November 9, 2011 to be effective as of the Effective Time (as defined below), is made and entered into by and among HollyFrontier Corporation, a Delaware corporation (“HollyFrontier”), Frontier Refining LLC, a Delaware limited liability company (“Frontier Cheyenne”), Frontier El Dorado Refining LLC, a Delaware limited liability company (“Frontier El Dorado” and collectively with Frontier Cheyenne, “Sellers”, and each a “Seller”), Holly Energy Partners — Operating, L.P., a Delaware limited partnership (“Buyer”), and Holly Energy Partners, L.P., a Delaware limited partnership (the “Partnership”).
