THIS CREDIT AGREEMENT, dated as of October 14, 2011 (as may be amended, restated, supplemented or otherwise modified from time to time, this “Agreement”), is among NOBLE ENERGY, INC., a Delaware corporation (the “Borrower”), JPMORGAN CHASE BANK, N.A. (“JPMCB”), as administrative agent (JPMCB in such capacity, together with any successor(s) thereto in such capacity, the “Administrative Agent”), CITIBANK, N.A, as syndication agent (in such capacity, together with any successor(s) thereto in such capacity, the “Syndication Agent”), BANK OF AMERICA, N.A., MIZUHO CORPORATE BANK, LTD. and MORGAN STANLEY MUFG LOAN PARTNERS, LLC, as documentation agents (in such capacity, together with any successor(s) thereto in such capacity, individually, a “Documentation Agent” and, collectively, the “Documentation Agents”), and certain commercial lending institutions as are or may become parties hereto (collectively, the “Lenders”).
