THIS PLEDGE AGREEMENT (as amended and modified, this “Pledge Agreement”), dated as of August 24, 2011, is by and among each party identified as a “Pledgor” on the signature pages hereto and such other parties as may become Pledgors hereunder after the date hereof (individually a “Pledgor”, and collectively the “Pledgors”) and REGIONS BANK, as collateral agent (in such capacity, the “Collateral Agent”) for the holders of the Secured Obligations.

This CREDIT AGREEMENT, dated as of August 24, 2011 (as amended, restated, supplemented, increased, extended, supplemented or otherwise modified from time to time, this “Agreement”), is entered into by and among PIKE ELECTRIC CORPORATION, a Delaware corporation (the “Borrower”), certain Subsidiaries of the Borrower from time to time party hereto, as Guarantors, the Lenders from time to time party hereto, REGIONS BANK, as administrative agent (in such capacity, “Administrative Agent”) and collateral agent (in such capacity, “Collateral Agent”).
