EMPLOYMENT AGREEMENT (the “Agreement”) made as of May 31, 2011, effective as of December 14, 2010 (the “Effective Date”), between TIME WARNER CABLE INC. (the “Company”), a Delaware corporation, and ROBERT D. MARCUS (“you” or “your”). This Agreement supersedes your employment agreement with the Company that was effective January I, 2010 (the “Original Effective Date”).
