Alaska Communications Systems Group, Inc., a Delaware corporation (the “Company”), proposes to issue and sell to the several purchasers named in Schedule A (the “Initial Purchasers”) $120,000,000 in aggregate principal amount of its 6.25% Convertible Notes due 2018 (the “Notes”), guaranteed on a joint and several basis by the subsidiaries of the Company listed in Schedule B and each domestic subsidiary of the Company hereafter created or acquired, other than its license subsidiaries, (the “Guarantors,” and such guarantees, the “Guarantees”). J.P. Morgan Securities LLC has agreed to act as the representative of the several Initial Purchasers (in such capacity, the “Representative”) in connection with the offering and sale of the Notes. To the extent that there are no additional Initial Purchasers listed on Schedule A other than you, the term “Initial Purchasers” as used herein shall mean you, as Initial Purchaser.
