THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into this 8th day of April, 2011, by and between Synthesis Energy Systems Inc., a Delaware corporation, having its principal executive office at Three Riverway, Suite 300, Houston, Texas 77056 (hereinafter referred to as the “Company”), and Robert W. Rigdon (hereinafter referred to as the “Employee”).
