otherwise (each such date, a “Maturity Date”); provided, however, that if the Issue Date occurs between a Record Date, as defined below, and the next succeeding Interest Payment Date, interest payments shall commence on the Interest Payment Date following the next succeeding Record Date to the Holder (as defined below) on such next succeeding Record Date. Unless otherwise specified above, the “Record Date” with respect to any Interest Payment Date shall be the date 15 calendar days, whether or not a Business Day (as defined on the reverse hereof), immediately preceding such Interest Payment Date.
