This REGISTRATION RIGHTS AGREEMENT dated February 2, 2011 (the “Agreement”) is entered into by and among Oasis Petroleum Inc., a Delaware corporation (the “Company”), Oasis Petroleum LLC, a Delaware limited liability company, and Oasis Petroleum North America, LLC, a Delaware limited liability company (the “Guarantors”), and J.P. Morgan Securities LLC (“J.P. Morgan”), Wells Fargo Securities, LLC, BNP Paribas Securities Corp., UBS Securities LLC, Johnson Rice & Company L.L.C., Morgan Keegan & Company, Inc., RBS Securities Inc., and Tudor, Pickering, Holt & Co. Securities, Inc. (collectively, the “Initial Purchasers”).

Oasis Petroleum Inc., a Delaware corporation (the “Company”), proposes to issue and sell to the several initial purchasers listed in Schedule 1 hereto (the “Initial Purchasers”), for whom you are acting as representative (the “Representative”), $400,000,000 principal amount of its 7.25% Senior Notes due 2019 (the “Securities”). The Securities will be issued pursuant to an Indenture to be dated as of February 2, 2011 (the “Base Indenture”) between the Company and U.S. Bank National Association, as trustee (the “Trustee”), as amended and supplemented by the First Supplemental Indenture thereto dated as of February 2, 2011 (the “Supplemental Indenture”) among the Company, the guarantors listed in Schedule 2 hereto (the “Guarantors”) and the Trustee.
