This SALE AGREEMENT, dated as of December 8, 2008 (this “Agreement”), by and between GREIF PACKAGING LLC, a Delaware limited liability company (“GP”), and each other entity from time to time party hereto as an Originator (each, an “Originator” and collectively, the “Originators”), and GREIF RECEIVABLES FUNDING LLC, a Delaware limited liability company (the “SPV”).
