THIRD AMENDED AND RESTATED CREDIT AGREEMENT, dated as of the 23rd day of November, 2010, by and among BELK, INC., a Delaware corporation (the “Company”), the Subsidiaries of the Company listed on the signature pages hereto and each additional Subsidiary of the Company which hereafter becomes a Borrower pursuant to Section 9.11 (collectively, the “Subsidiary Borrowers” and together with the Company, the “Borrowers”), the lenders who are or may become a party to this Agreement, as Lenders, WELLS FARGO BANK, NATIONAL ASSOCIATION (successor by merger to Wachovia Bank, National Association), as Administrative Agent for the Lenders, and BANK OF AMERICA, N.A., as Syndication Agent and BRANCH BANKING AND TRUST COMPANY, U.S. BANK, NATIONAL ASSOCIATION and REGIONS BANK as Documentation Agents.
