Amendment No. 4 to Credit Agreement, dated as of July 23, 2010 (this “Fourth Amendment”), among CUMULUS MEDIA INC., a Delaware corporation (the “Borrower”), BANK OF AMERICA, N.A., as the existing administrative agent for the Lenders under the Credit Agreement, referenced below (in such capacity, the “Existing Agent”), BANK OF AMERICA, N.A., as the Issuing Bank under such Credit Agreement, GENERAL ELECTRIC CAPITAL CORPORATION, a Delaware corporation (in its individual capacity, “GE Capital”), for itself as Lender and as administrative agent, and the other Lenders signature hereto from time to time.
