These Terms and Conditions of Stock Award, Employment and Separation (the “Agreement”) are entered into this 1st day of June, 2010 by and between COMMERCIAL METALS COMPANY, a Delaware corporation (the “Employer” or the “Company”) and WILLIAM B. LARSON (the “Executive”). The Employer and Executive are collectively referred to as the “Parties,” and individually as a “Party.”

These Terms and Conditions of Stock Award, Employment and Separation (the “Agreement”) is entered into this 1st day of June, 2010 by and between COMMERCIAL METALS INTERNATIONAL AG (the “Employer” or the “Company”), a Swiss corporation that is a wholly-owned subsidiary of Commercial Metals Company, a Delaware corporation (“CMC”), and DR. HANNS K. ZOELLNER (the “Executive”). The Employer and Executive are collectively referred to as the “Parties,” and individually as a “Party.”
