Urstadt Biddle Properties Inc., a Maryland corporation (the “Company”), proposes to sell to Deutsche Bank Securities Inc. (the “Underwriter”) 2,500,000 shares (the “Firm Shares”) of the Company’s Class A common stock, $0.01 par value per share (the “Common Stock”). The Company also proposes to sell at the Underwriter’s option an aggregate of up to 250,000 additional shares of the Company’s Common Stock (the “Option Shares,” and together with the Firm Shares, the “Shares”) as set forth below.
