THIS FISCAL AGENCY AGREEMENT is made as of June 29, 2010 among Her Majesty in Right of Canada, as represented by the Minister of Finance (“Canada”); Citibank, N.A. (“Citibank New York”), a U.S. national banking association having an office in New York, NY, as registrar, transfer agent, fiscal agent and principal paying agent for its Domestic Notes (as defined below); and Citibank, N.A., London Branch (“Citibank London”) as registrar, transfer agent, fiscal agent and principal paying agent for its International Notes (as defined below). All capitalized terms used but not defined herein are used as defined in the forms of Notes attached as Exhibits B and C hereto or, in the case of terms used in relation to Notes that are issued and outstanding, as defined in such Notes. The exhibits hereto form an integral part of this Agreement.
